How to find who owns an Arizona LLC

Arizona articles of organization have to say whether the company is manager-managed or member-managed, and they have to name the people that choice requires. This page follows A.R.S. 29-3201 as it reads on the Arizona Legislature site.

The short answerRead the articles of organization on the Arizona Corporation Commission record. A.R.S. 29-3201(B) requires a member-managed company to list the name and address of each member. A manager-managed company must list each manager and each member who owns a twenty percent or greater interest in the capital or profits. Those are the names the company filed. They are not proof of who owns it today.

1. What Arizona articles must state

A.R.S. 29-3201(B) requires the articles of organization to state:

  1. The name of the company.
  2. The principal address, which may be the same as the statutory agent’s mailing address.
  3. The name and the street and mailing addresses in this state of the statutory agent.
  4. Whether the company is manager-managed or member-managed. If it is manager-managed, the name and address of each manager and of each member who owns a twenty percent or greater interest in the capital or profits. If it is member-managed, the name and address of each member.

A member below that twenty percent line is not required on a manager-managed filing. The statutory agent is the person who accepts legal papers. That role is not a statement of ownership. See is the registered agent the owner.

Start at the Arizona Corporation Commission site linked below. On October 22, 2026 that address returned the Commission’s public landing page, so this guide does not describe a search form. Open the company named on the county record and read the articles the Commission record includes.

  1. Write down the filing date, the management structure, and every manager or member the articles name.
  2. Write down the statutory agent and both addresses the articles give for that agent.
  3. Read any later document on the same Commission record before you treat the original articles as the current list.
  4. If a named manager or member is another company, read that company’s articles as a separate record.

3. Publication after the Commission files the articles

A.R.S. 29-3201(G) gives sixty days after the Commission files the articles. The company either publishes a notice of the information in subsection (B) in a newspaper of general circulation in the county of the statutory agent’s street address, for three consecutive publications, or, when that street address is in a county with a population of more than eight hundred thousand persons, the Commission inputs the approval into the database prescribed by section 10-130. An affidavit of publication may be filed with the Commission. This page does not summarize section 10-130.

4. What the articles do not prove

  • The articles show the names required when they were filed. Read the filing date and any later documents on the Commission record. This page does not describe an amendment statute.
  • A manager-managed company does not have to list a member under the twenty percent interest.
  • Ohio articles are not required to name members. See who owns an Ohio LLC. Illinois names managers and members who have manager authority. See who owns an Illinois LLC.

5. How Locate Next fits

The LLC owner lookup page states the product in these words: “We search available state records for the owner name on your list, including former names when the source provides them, and keep the plausible companies in view.” A later line says: “Where Locate has a working state source, we show its official record or search link.” The coverage section says: “State filings list the people a company named. They don’t prove who owns or controls it, and we don’t claim they do.” This Arizona page does not say Locate Next searches Arizona for you.

Common questions

Does Arizona list LLC members in the articles?

A.R.S. 29-3201(B) requires every member of a member-managed company. A manager-managed company lists each manager and each member who owns a twenty percent or greater interest in the capital or profits.

Where are Arizona LLC articles filed?

The statute says the articles are delivered to the Arizona Corporation Commission. Use the Commission site linked in the sources and read the articles on that record.

Is the Arizona statutory agent the owner?

The articles name the statutory agent for service. They do not say that agent owns the company. Check the managers or members the same articles list.

Do Arizona articles show the current owners?

They show what was filed. Read the filing date and any later documents on the Commission record, and treat the names as people the company listed.
