How to find who owns an LLC in Wyoming

Wyoming articles of organization must name the LLC and its initial registered agent and office. They do not have to name members. The annual report is due on the first day of the anniversary month of formation.

The short answerSearch WyoBiz by name to find the Filing ID, then read the articles against W.S. 17-29-201. A certificate of existence, under W.S. 17-29-208, states the name, the formation date, and whether fees, taxes, and penalties due to the Secretary of State have been paid. It is not a member list. This page follows the statute and the annual report instructions. It is not legal advice.

1. What the articles of organization must say

The Wyoming Limited Liability Company Act, published by the Secretary of State as a PDF of W.S. 17-29, section 17-29-201, says the articles state the name of the company and the street address of the initial registered office and the name of the initial registered agent. The next item in that list is marked reserved. The articles may contain other statements the organizers choose. They do not have to name members.

The same section describes an organizer as a person who acts under 17-29-201 to form the company. The statute does not say the organizer is a member.

2. The anniversary-month annual report

The Secretary of State's annual report instructions say reports for LLCs are due on the first day of the anniversary month of formation. The example on that page: an initial filing on May 15 means the report is due May 1 each year. Statutory trusts are on a different date, January 1, and they are not LLCs.

The instructions say to search by name to see whether the entity can e-file. Filing the report requires the Secretary of State Filing ID. If you do not have the Filing ID, the page says to use Search. Information on the report should be current as of the date it is submitted. For corporations, the same page asks for officers and directors. It does not say an LLC annual report adds a member list.

The business search is on WyoBiz. This guide does not describe that form's buttons. The annual report page is the source for the name search and the Filing ID, and the statute is the source for what the articles must contain.

3. A certificate of existence is not ownership

W.S. 17-29-208 says a certificate of existence states the company name, that the company was formed and the date, and whether all fees, taxes, and penalties due to the Secretary of State have been paid. It is issued if articles of dissolution have not been filed. "Fees paid" is not "members disclosed."

The registered agent named in the articles accepts the role the statute assigns. The articles do not have a field that says the agent owns the company. Is the registered agent the owner keeps that line from being read as a deed.

4. A practical order of work

  1. Copy the name from the county assessor or the deed.
  2. Use the search the annual report page points to, by name, and write down the Filing ID.
  3. Read the articles of organization for the registered office and the registered agent. Do not expect a member schedule. The statute does not require one.
  4. If the land is in another state, that state may have a foreign registration with names Wyoming omitted. California's Statement of Information and the Texas Public Information Report are two places those names can appear.
  5. Read who signed the deed and the title under the signature. Keep the Filing ID on the LLC research worksheet.

5. What Locate Next will not add

A Wyoming record that does not name members cannot be completed by software. The LLC owner lookup page says some sources do not list managers or members, and that a company we cannot check is shown with the official link and held for review. The LLC owner guide is the cross-state method. Locate Next is where a property list is reviewed after you already know which person you are allowed to export.
