How to find who owns an LLC in Texas

Look up the LLC on the Texas Comptroller Taxable Entity Search and, when you need the filed documents, on the Secretary of State's SOSPortal. Read the names, the report date, and the role. Stop there: those records do not prove who owns the company.

The short answerTexas keeps the formation documents at the Secretary of State and the annual Public Information Report at the Comptroller. SOSPortal charges $1.00 for each search. The Comptroller shows officer and director names taken from the latest Public Information Report the Secretary of State has processed. A manager on that report is not, by that listing alone, a member. This is a reading of the state pages linked below, not legal advice.

1. Two Texas offices

Start from the owner name on the county appraisal district record, the same first step as the LLC owner guide. Then open the state record, not a reseller's copy of it, so the date on the screen is the state's date.

The Secretary of State says SOSPortal is available 24 hours a day and that each search carries a $1.00 fee set by statute. The Taxable Entity Search is a different site. The Comptroller's filing page says the officer and director information shown there comes from Public Information Reports the Secretary of State has processed.

2. What the Public Information Report lists

Corporations, LLCs, limited partnerships, professional associations, and financial institutions file Form 05-102, the Public Information Report, each year. The Comptroller's field help says a domestic LLC enters all managers and, if the LLC is member-managed, all members. It also enters any officers, the registered agent name and address, and each parent corporation, LLC, limited partnership, professional association, or financial institution that owns 10 percent or more. The declaration is as of the date the report is filed.

The same instructions say the Comptroller does not require an update between reports. A change made after filing waits for the next Public Information Report. A registered agent change is filed with the Secretary of State, not on the Public Information Report or the Ownership Information Report.

Some taxable entities file an Ownership Information Report, Form 05-167, instead. The Comptroller's requirements page says ownership information on those reports is confidential and is not displayed on the Comptroller's website. If the entity in front of you is that kind of filer, the public search will not show the ownership section.

3. How to search

  1. Copy the owner name from the appraisal district or the deed, including the LLC ending and any comma.
  2. Search the Taxable Entity Search. On the result, read the right to transact business, the registered agent, and the officers and managers from the latest Public Information Report. Write down the report date.
  3. For the certificate of formation and later filings, use SOSPortal. The copy instructions say to open Search and Order Records, start a new search, pay, choose Business Filings, and search by entity name or file number. The Filing History tab lists the documents. The $1.00 search fee is waived if you order copies from those results. Plain copies are $0.10 a page.
  4. Keep the file number, the names, and the date you searched next to the county row. The LLC research worksheet is a CSV for that comparison.

4. What the Texas record does not prove

The field help asks for managers on every domestic LLC, and for members only when the LLC is member-managed. A name in the manager section is not identified as a member by that section alone. A parent listed under "Owned By" is a company that reported a stake of 10 percent or more, not a full ownership chart, and it is current only as of the report date.

The registered agent on the report is the name filed for service. Texas tells you to change that name with the Secretary of State. Whether that person is also a member is not a field on the report. The registered agent guide separates the two roles.

5. Next to the property row

Put the file number and the report date beside the deed grantee and the tax mailing address. A matching legal name is a candidate. It still needs the ownership document before you treat the company as the owner of that parcel.

Locate Next can set a Texas filing next to a property row when that state source is available. The LLC owner lookup page is where the product states which sources it can check. Skip tracing for property lists is the product home, and the review step is yours: you choose who is exported. Tax sale excess proceeds, from Tax Code chapter 34, are summarized in Texas tax sale excess proceeds.

Common questions

Is a Texas LLC search free?

The Secretary of State says each SOSPortal search costs $1.00, and that the fee is waived if you order copies from the results. Plain copies are $0.10 a page. The Comptroller Taxable Entity Search is a separate page. We do not describe it as free, because that page does not say the search has no charge.

Does Texas publish LLC members?

On Form 05-102, a domestic LLC lists every manager and, when it is member-managed, every member. The Comptroller displays the latest processed report in Taxable Entity Search. The list is as of the filing date. Entities that file Form 05-167 instead do not have that ownership section displayed.

Is the Texas registered agent the owner?

The report lists the agent and, separately, managers and any required members. The agent line does not say the agent owns the LLC. Agent updates go to the Secretary of State.

Where do federal ownership reports fit?

They are not a Texas Comptroller search. The parent LLC guide covers FinCEN's public-search limit and links the agency page.
