1. What the state pages say the agent does
The California field guide defines the agent for service of process as the recipient of lawsuits, subpoenas, and other legal notices. If the agent of an LLC is a corporation, that guide says the corporate agent's address may be requested by ordering a status report.
The Florida Division of Corporations FAQ says the registered agent accepts service of process. An entity cannot serve as its own registered agent. An individual within the business may serve. California's Form LLC-12 instructions say a small LLC will often designate a member or a manager as the individual agent, and that the agent's name and street address are a public record. "Often" is the Secretary of State's word on that form. It is still not a statement that the agent on your filing is a member.
Delaware's free search shows the agent's name, address, phone number, and residency because 6 Del. C. 18-201(a) requires a registered agent and does not require members. The phone number is the agent's.
2. Why the agent line is not an ownership line
None of those sources define the job as owning the company. Florida separates the labels: a member is the equivalent of an owner, a manager may or may not be a member, and the agent is the service contact. Texas lists the registered agent on the Public Information Report and lists members only when the LLC is member-managed. The agent section and the member section are not the same section. See the Texas LLC guide.
New York's database lists a registered agent if one is designated, and the Department says it does not maintain member or manager names. An agent with no member list beside it cannot prove membership. The New York LLC guide has the field list.
3. Other names on a filing
- Organizer. Wyoming's W.S. 17-29-201 describes the organizer as a person who forms the company under that section. The articles do not have to say the organizer is a member. The Wyoming guide quotes the section.
- Manager. Florida says a manager is designated by the members and may or may not be a member. California's Form LLC-12 asks for managers when they have been appointed, and for members only when no manager was appointed.
- Member. Florida says a member is the equivalent of an owner. California's form instructions say a member is the owner of the LLC, similar to a shareholder. Not every state prints the name. Delaware's certificate does not have to.
- Authorized representative. On Sunbiz, AR means a person a member or manager may appoint to execute and file records. The Florida FAQ does not call that person an owner.
4. Records that name someone else
Read the deed and the mortgage for the person who signed and the title under the signature. Read a Texas Public Information Report or a California Statement of Information when the company is on file there. If the LLC was formed in Delaware or Wyoming and the land is elsewhere, read the foreign registration in the property state. The LLC owner guide walks the comparison, and each state page says what that state actually publishes.
A same agent name on two companies is two agent appointments. It is not, by itself, common ownership. The filings do not say the companies share members.
5. Federal ownership reports
FinCEN's beneficial ownership page says companies created in the United States are exempt from beneficial ownership reporting under the final rule effective August 14, 2026. The LLC owner guide states that those reports were never a public search. They are not a back door from the registered agent to a member list.
Common questions
Is the registered agent the owner of an LLC?
The agent line does not say so. California and Florida define the agent as the recipient of legal papers. An owner can serve, and Florida allows an individual in the business to serve, but the field does not label the agent as a member.
Can I contact the registered agent to reach the owner?
The sources above describe the agent as the recipient of service of process and state notices. They do not describe the agent as a sales contact, and they do not say the agent will forward other mail.
The organizer is a formation service. Who owns the LLC?
The organizer filed the formation. Wyoming's statute does not make the organizer a member. Ownership terms sit in records these state searches do not publish, such as the operating agreement.
Why does one agent name show up on more than one LLC?
Each filing names whoever was appointed for service. Repeated appointments show the same service contact. They do not state that the companies have the same members.
