1. Sunbiz is the Florida record
Take the owner name from the county property appraiser or the deed, then search Sunbiz by entity name. The Division says its database records are updated daily. Use that site rather than a copied index so you are looking at the Division's current row. The parent LLC owner guide uses Florida as its worked example.
2. Members, managers, and authorized representatives
The Division FAQ defines the labels you will see. AR means Authorized Representative. MGR means Manager. A member is the equivalent of an owner. A manager may or may not be a member. A manager or a member may appoint an authorized representative to execute and file records. The FAQ cites section 605.0102(8), Florida Statutes, for that appointment.
Sunbiz therefore shows a title, not a percentage. An AR can be someone appointed only to sign filings. Seeing MGR does not tell you whether that person is also a member.
The registered agent is the person or entity that accepts service of process. The FAQ says an entity cannot serve as its own registered agent, and that an individual within the business may serve. The agent line is that role. It is not a member line. More on the difference is in is the registered agent the owner.
3. How to search Sunbiz
- Copy the entity name exactly, including the LLC ending.
- Open Sunbiz search and search by that name. The Division's own instruction is a name search. This guide does not describe a menu label we did not re-check on the search form.
- On the detail page, write down the document number, status, filing date, addresses, the registered agent, and each person with the title Sunbiz prints.
- Open the annual reports linked from that record. The report is where the Division says those names are confirmed or changed.
- Note the date you searched. Daily updates mean a later visit can differ.
4. The annual report deadline and fee
The Division's annual report instructions say the report is due by May 1 each year, whether or not anything changed. Filed by that date, the LLC fee is $138.75. A $400 late fee applies to an LLC report filed after May 1. The instructions say there is no provision to waive that late fee.
The same PDF says failure to file by the third Friday in September results in administrative dissolution or revocation at the close of business on the fourth Friday in September. Reinstatement takes the application and the fees due at that time. The report can add, delete, or change managers and managing members, and it can change the registered agent and the addresses. It cannot change the entity name. A name change is an amendment, and the instructions say that amendment is filed by mail.
The instructions say the report is due by May 1. They do not state a January start date.
5. After you have the Sunbiz row
Set the document number next to the deed grantee. A shared mailing address is a clue, not a conclusion that the company owns the parcel. The LLC research worksheet keeps the county row and the filing notes together.
When a Florida source is loaded, Locate Next can show that filing for review. What the product will and will not infer is on the LLC owner lookup page. The home page is the product overview. Illinois articles name the managers and any member with manager authority. See who owns an Illinois LLC.
Common questions
What does AR mean on a Florida LLC?
The Division of Corporations says AR means Authorized Representative. A member or manager can appoint that person to execute and file records. The FAQ does not say the representative owns the LLC.
Is the manager of a Florida LLC the owner?
Not from the title alone. The Division says a manager is designated by the members and may or may not be a member. A member is the equivalent of an owner.
Can a Florida LLC be its own registered agent?
No. The Division FAQ says an entity cannot serve as its own registered agent. An individual within the business may serve. That fact still does not make the agent a member.
When is the Florida LLC annual report due?
By May 1. The LLC fee is $138.75 if filed by then. The Division adds a $400 late fee after May 1. Missing the third Friday in September can lead to administrative dissolution or revocation on the fourth Friday.
